Martha White® Muffin Mix Challenge™

Official Rules

RECIPE REQUIREMENTS: The Martha White® Muffin Mix Challenge™ ("Contest") seeks original, recipes prepared with at least one pouch of Martha White Muffin Mix (less than 12 ounce size). Recipes using alcohol as an ingredient will not be accepted. Recipes may not have won previous awards, may not have been published previously and must not infringe upon any other person's rights. Each recipe must include U.S. standard measurements, complete preparation instructions, cooking time and temperatures, number of servings, size of pans and any special utensils or cookware.

HOW TO ENTER: The Contest begins Aug. 1, 2009, at midnight Central Time. Three ways to enter:

1) By mail: Send your original recipe, in English, legibly written, printed or typed on a sheet of 8 1/2 x 11-inch paper with your complete name, mailing or street address, city, state, zip code, daytime telephone number, and date of birth in an envelope with First Class Postage to: Muffin Mix Challenge 2009, 209 7th Avenue North, Nashville, TN 37219. Mail-in entries must be postmarked by Dec. 31, 2009, and received by Jan. 6, 2010.

2) By e-mail: Send your original recipe, in English, typed in an e-mail with your complete name, mailing or street address, city, state, zip code, daytime telephone number, and date of birth to: muffins@dvl.com
E-mail entries must be received by 11:59 p.m. Central Time on Dec. 31, 2009.

3) By Internet: Submit your original recipe, in English, typed online on the Contest page at www.marthawhite.com with your complete name, mailing or street address, city, state, zip code, daytime telephone number, and date of birth. Online entries must be received by 11:59 p.m. Central Time on Dec. 31, 2009.

Enter the Contest as often as you wish, but each entry must be different and be mailed in a separate envelope or submitted by separate e-mail message or Internet entry. Only one individual per entry.

ELIBILITY: Contest is open to legal residents of the United States and D.C. (18 years or older), except food professionals, such as chefs, food writers or food home economists who create recipes for pay. Employees, officers and directors of Martha White Foods, Inc., ("Sponsor"), its parent company, affiliates, subsidiaries, distributors, sales representatives, advertising and publicity agencies and members of their immediate families (parent, child, sibling and spouse of each) or households of any of the above are not eligible. Past winners (first, second, and third place) and members of their immediate families (parent, child, sibling and spouse of each) or households are also not eligible to enter the Contest.

JUDGING: Initial Judging: Entries will be judged initially based on the written recipe by a qualified panel of judges and will consider the following: taste, creativity, appetizing appearance, ease of preparation, and appropriate use of the product(s). The top 15 recipes will then be prepared and judged by a qualified panel of judges and assigned points based on a 1-20 point system for each of the above categories. All category points will be added to determine five finalists (subject to eligibility verification). In the event of a tie, the entry with the highest score in the taste category and, if necessary, the appropriate use of product category, will determine the finalists. Potential finalists will be notified by mail and each (or parent/legal guardian if potential finalist is an eligible minor) must execute and return an affidavit of eligibility and liability/publicity release (where permissible) within 7 days or receipt of notification or finalist status will be forfeited. Each finalist's recipe will be re-created by a food stylist and photographed by a professional photographer using the same lighting and background. Food stylist and photographer used are at the sole discretion of the Sponsor. Each finalist's recipe, prepared recipe photo and description will then be placed online at www.marthawhite.com to be judged by the public. Each finalist's first name and state of residence will also be displayed online. By participating in the Contest entrant acknowledges and agrees that if his/her entry is selected as a finalist, Sponsor may display the photographs (and accompanying descriptions) of finalists' recipes in any order, pattern or format, at its sole discretion. Online Voting: The finalists' recipes will be placed online at www.marthawhite.com for consumers to vote for the best recipe starting at 12:01 a.m. Central Time on February, 8, 2010 and ending at 11:59 p.m. Central Time on February 28, 2010 ("Online Voting Period"). Consumers 18 years of age or older will be able to vote only once per person or email address per day (12:00 a.m. to the following 11:59 p.m. Central Time) during the voting period. Automated methods of voting are prohibited.

WINNERS: The Grand Prize Winner will be determined on or about March 15, 2010, by the combined scores of the Initial Judging Scores (70%) and the Online Voting Scores (30%). In the event of a tie, the entry with the highest score from the Initial Judging will be deemed the Grand Prize Winner. The decisions of the judges will be final and binding on all matters relating to the Contest. The four remaining finalists will be named First Prize Winners. Each winner will also have to make himself or herself available for media interviews and public relations events as requested by Sponsor.

CONTEST PRIZES:

Grand Prize — $5,000 cash and a special Martha White gift basket worth $50.
Total Approximate Retail Value (ARV): $5,050.

Four First Prizes — $1,000 cash and a special Martha White gift basket worth $25.
Total ARV: $4,100.

Total ARV of all Contest Prizes: $9,150.

ONLINE DRAWINGS: Consumers that participate in the Online Judging at Sponsor's website may also enter the Online Drawings ("Drawing") by following the on-screen directions to enter, provided each meets the eligibility criteria stated above and submits an eligible vote during the Online Voting Period.

DRAWING PRIZES: 25 special Martha White gift baskets worth $25 each. Total ARV of all Drawing Prizes: $625. The 25 Winners will be selected from among all eligible entries received in random drawings on or about March 15, 2010. Odds of winning a prize depend on the total number of eligible entries received.

GENERAL TERMS & CONDITIONS: No substitution, cash reimbursement, or transfer of prizes, except Sponsor reserves the right to substitute a prize of equal or greater value should any of the advertised prizes become unavailable. By entering, participants agree to be bound by the Official Rules and the decisions of the Sponsor, which will be final and binding in all matters pertaining to the Contest and/or Drawing. Limit one prize per household. By participating in the Contest and/or Drawing, entrants agree to release, hold harmless and indemnify the Sponsor, its parent company, affiliates, subsidiaries, distributors and each of their respective shareholders, directors, officers, employees and agencies from and against any and all liability whatsoever for any injuries, losses, harm, damage (including but not limited to property damage, personal injury and/or death), claims, actions, costs and expenses (including without limitation, all attorneys' fees and court costs) arising directly or indirectly from or in connection with his/her participation in the Contest and/or Drawing, acceptance, possession or use/misuse of the prize or participation in any prize-related activity. Winners further acknowledge that the above parties are in no manner responsible or liable for, and specifically disclaim, any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize or portion thereof, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Submission of a Contest entry grants Sponsor and its agents the right to publish, use, adapt, edit and/or modify the recipe included with the entry in any way, in commerce and in any and all media worldwide, without limitation. Submission of a Contest entry further constitutes the entrant's (or his/her parent's or guardian's) consent to irrevocably assign and transfer to the Sponsor any and all rights, title and interest in and to the entry, including, without limitation, all intellectual property rights. Each entrant must be the sole and rightful owner of the recipe submitted in the Contest. Acceptance of finalist status or a prize will further constitute and signify agreement and consent (or that of parent or legal guardian if winner is a minor) that the Sponsor and/or Sponsor's assignee may use the entrant's recipe, name, photograph, images, likeness, voice, signature, biographical information, recipe and/or any other intellectual property materials created or submitted as part of the Contest and/or Drawing, in addition to any and all materials created during public relations activities related to the Contest and/or Drawing (collectively "Publicity Materials") for purposes of advertising, publicity and trade related to Sponsor's products and/or services, in all media worldwide (including Sponsor's web sites), without further compensation, except where prohibited. Winners' statements may be used in whole or in part and may be paraphrased, amplified, shortened, and/or put into conversational form to meet the requirements of copy, layout and/or script, provided their general sense is not changed. All Publicity Materials developed or used will be Sponsor's property and will be works "made for hire" and winners will retain no ownership rights whatsoever in or to said works. If said Publicity Materials are not considered works "made for hire," winners hereby assign all said works to Sponsor. Winners are solely responsible for any federal, state or local taxes on prizes. All federal, state, and local laws and regulations apply. Void outside the 50 United States and D.C. and where prohibited. Sponsor reserves the right to take such action as they deem necessary to enforce these Official Rules and ensure the fair operation of the Contest and/or Drawing, including without limitation, barring and disqualifying entrants who do not comply with these Official Rules. If, for any reason, the Contest and/or Drawing is not capable of running as planned by any cause which, in the sole opinion of the Sponsor, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Contest and/or Drawing, or if due to any technical, production, or other error, more prizes are claimed or awarded than are described in these Official Rules, Sponsor reserves the right, at their sole discretion to cancel, terminate, modify or suspend the Contest and/or Drawing and determine winners from entries received prior to action taken, or as otherwise deemed fair and equitable by Sponsor. No more than the number of prizes stated in these Official Rules will be awarded. By participating, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of the Official Rules, entrant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest and/or Drawing, will be governed by, and construed in accordance with, the laws of State of Ohio, without giving effect to any choice of law or conflict of law rules. By participating, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Cleveland, Ohio.

LIMITATIONS OF LIABILITY: In the event of a dispute regarding the identity of an entrant, such entry will be deemed to be made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is deemed as the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Neither Sponsor nor its agencies are responsible for lost, late, stolen, illegible, misdirected, or non-delivered entries or e-mail; or for lost, interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Web Site or other connections availability, accessibility or traffic congestion, or miscommunications, or failed computer, network, telephone, satellite, or cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network, or the incorrect or inaccurate capture of entry or other information or the failure to capture, or loss of, any such information. Neither Sponsor nor its agencies are responsible for any incorrect or inaccurate information, whether caused by Web Site users, or by any equipment or programming associated with or utilized in the Contest and/or Drawing and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of Web Site. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds may be tampering with the entry process or operation of the Contest, Drawing, or Web Site, may be acting in violation of the terms of the Web Site or may be acting in a non-sportsmanlike or disruptive manner, or with intent to threaten, abuse or harass any other person. Any attempt to deliberately damage any Web Site or undermine the legitimate operation of the Contest and/or Drawing is unlawful and subject to legal action by Sponsor or its agents.

WINNERS LIST: For a copy of the winners list, send a self-addressed, legal size envelope with proper postage affixed by March 31, 2010, to Muffin Mix Challenge™ Winners List, 209 7th Avenue North, Nashville, TN 37219. Winners list will be sent after all winners have been verified.
